Eligibility: Contest open to “Nominators” (person who submits an entry) & “Nominees” (subject matter of the submitted entry) who are legal residents of, and currently residing in Houston, TX, Indianapolis, IN, Sacramento, CA, San Antonio, TX, and Seattle, WA and their respective immediately surrounding areas (defined as the area situated within a 75-mile radius of each of the above cities’ WNBA team arena), & are 13 years of age or older as of date of entry. The Nominee must also be someone with whom the Nominator is personally acquainted, & Nominator must have Nominee’s permission to nominate him/her. A minor should have a parent’s or legal guardian’s permission to participate. Employees, officers, directors, & agents of WNBA Enterprises, LLC ("Sponsor"), the Women's National Basketball Association ("WNBA") & its member teams, NBA Media Ventures, LLC, & its teams, Toyota Motor Sales, U.S.A. & each of their respective parent companies, subsidiaries, affiliates, officers, governors, owners, distributors, retailers, advertising/promotion agencies & Project Support Team, Inc. (“P/S/T”) (collectively, “Released Parties”), & the immediate family members (spouse, parent, child, sibling & their respective spouses, regardless of where they reside) & those living in the same household of each, whether or not related, are not eligible to participate or win a prize. Void where prohibited by law. All applicable federal, state & local laws & regulations apply.

To Enter: Submit an original essay of no more than 500 words describing why your Nominee is considered a hero in his/her community & how he/she has inspired others or has been inspired by a WNBA player(s) (“Theme”). To be eligible, essay cannot have been previously published or submitted in any competition & must be: complete; in English; true & verifiable, substantially different from any other essay you are submitting; be in keeping with Sponsor’s image; & must be your original creation & submitted separately. Modification of an existing work does not qualify as original. You may nominate yourself. The Nominee in your essay must not be deceased. In the event of non-compliance with any of the terms of these rules, entry will be void.

To Submit Entry: Visit http://www.wnba.com/features/toyota_hmf_entry06.html between 5:00:00 p.m. Eastern Time (“ET”) on 5/20/06 & 5:00:00 p.m. ET on 7/21/06, complete the Official Online Entry Form, which will include your essay. Other than for prize notification or conditions as previously stated or for promotional emails, neither Sponsor, nor anyone acting on its behalf, will enter into any communications with any Nominator or Nominee regarding this contest or acknowledge any entry not meeting all entry requirements stated herein & such entries will be disqualified. Entries that are deemed by the judges in their sole discretion to be immoral, obscene, profane or not in keeping with Sponsor’s image or in violation of these rules will be void. Released Parties are not responsible for incomplete, lost, late, illegible, inaccurate, delayed, undelivered or misdirected entries (or any component thereof), inaccurate contest related information provided by Sponsor or for interrupted or unavailable network, server or other connections, miscommunications, computer or software malfunctions or telephone line or transmission problems or technical failures, garbled transmissions, damage to a user's computer equipment (software or hardware) or other errors or malfunctions of any kind whether caused by equipment, programming used in this contest, mechanical, electronic or human error or otherwise relating to or in connection with the contest, including, without limitation, errors which may occur in connection with the administration of the contest, the processing or judging of entries, the announcement of the prizes or in any contest-related materials.

Judging: Based on the following criteria, (5) Nominee Prize winners will be selected for each of the (5) WNBA markets (for a total of (25) Nominee Prize winners) on or about 7/31/06 from among all eligible essays received for each applicable participating WNBA market: 1) Demonstration of Nominee’s Activities Earning Him/Her Hero Status: 0-30 points; 2) Written Expression: 0-30 points; & 3) Essay’s Relevance to Theme: 0-40 points. Prizes will be awarded to the Nominees and Nominators who earn the highest number of points in their respective participating WNBA market. The official judging panel, will consist of qualified representatives from the participating local WNBA teams specified above and representatives from Sponsor and Toyota Motor Sales, whose decisions will be final & binding in all matters relating to this Contest. In the event of a tie, such tied entries will be re-judged based on Essay’s Overall Relevance to Theme 0-100 points. Sponsor reserves the right to not award any prize or all prizes if, in its sole discretion, it does not receive a sufficient number of eligible & qualified entries. Sponsor reserves the right to edit the essays for posting on http://www.wnba.com/features/toyota_hmf_entry06.html as it deems necessary in its sole discretion & Nominee & Nominator (or the parent or legal guardian of any minor Nominee or Nominator) acknowledge & agree that Released Parties shall not be responsible for any alleged consequences of such editing. The use of any device to automate the entry process is prohibited and any such entries will be void. The Nominee Prize Winners (or the parent or legal guardian if Nominee Winner is a minor) will be notified by telephone &/or overnight mail &/or mail. Once the selected Nominee specified in winning entry is verified (including returning all required winner documentation), the corresponding Nominator (or the parent or legal guardian if Nominator is a minor) will be notified by email, telephone &/or express mail. In the event that the Nominator declines the prize or the Nominator is not eligible to accept the prize, Sponsor, at its discretion, may disqualify the Nominator and either the Nominee will receive both the Nominator & Nominee prizes (i.e., Nominee will receive a trip for 4 instead of a trip for 2). If any winner is a minor, prize may be awarded in the name of the parent or legal guardian who will be required to fulfill all requirements imposed on winners set forth herein and accompany minor winner on prize trip as his/her guest. Sponsor reserves the right, in its sole discretion, to void suspect entries or to modify, cancel, terminate or suspend entry submission should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the contest &, in the event of such cancellation, suspension or termination, at its discretion, select the winning entry from all eligible non-suspect entries received prior to event requiring online cancellation, termination or suspension using the judging criteria stated herein. By participating, Nominator & Nominee (or the parent or legal guardian of any minor Nominee or Nominator) agree to abide by these Official Rules & the decisions of the Sponsor and judges, which shall be final & binding.

Prizes: (25) Nominee Prizes/(5) Per Participating WNBA Market: (2) Tickets to a designated WNBA Game in the winner’s local market and the opportunity to attend a pre-game meet and greet reception (WNBA please let me know if you would like this to be more detailed). The nominated hero will be recognized on-court (Approximate Retail Value (“ARV”)=$80/ea.). Toyota Motor Sales, U.S.A. will donate an additional $1,000 to each of the Nominee Prize winner’s choice of a non-profit service organization. Selected service organizations will be subject to the approval of Sponsor. (25) Nominator Prizes/(5) Per Participating WNBA Market: (2) Tickets to a designated WNBA Game in the winner’s local market and the opportunity to attend a pre-game meet and greet reception (ARV=$80/ea.). Game date to be designated by Sponsor. Seat locations will be determined by Sponsor. Sponsor reserves the right to remove or to deny entry to any winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game or any event. Prize details are at Sponsor's sole discretion. Total ARV of all prizes=$4,000. All applicable federal, state & local taxes are the sole responsibility of the winners.

Miscellaneous: No transfer, assignment, or substitution of prizes except by Sponsor who may substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion. The winning Nominees & their respective Nominators (or the parent or legal guardian of any minor Nominee or Nominator) will be required to execute & return an Affidavit of Eligibility, Liability & (where legal) Publicity Release within 2 days of date of issuance of notification. The winning Nominees & their respective Nominators’ traveling companions (if minor, his/her parent or legal guardian) will also be required to execute & return a Liability Release & (where legal) Publicity Release prior to prize award. Affidavit/Release will, among other things, include without limitation their granting of permission for their name, city & state of residence & essay to be displayed on http://www.wnba.com/features/toyota_hmf_entry06.html as stated above for public display &/or provide any other information Sponsor may require. Noncompliance with the foregoing, with these rules or any notification being returned as non-deliverable, may result in disqualification & a runner-up Nominee being chosen at Sponsor’s discretion. By entering, each Nominator (or the parent or legal guardian of any minor Nominator) warrants & represents that his/her entry submitted does not defame or otherwise violate the rights of any third party & does not violate any federal, state or local laws or ordinances. Nominators (or the parent or legal guardian of any minor Nominator) further warrant & represent that (1) they have secured the requisite consent from any third party referenced in their entry (including, but not limited to, the Nominee & any company or other third party trademarks or logos) &, if their entry is a prize winner, agree to provide legal releases for the use of such reference in a form satisfactory to judges; (2) that Sponsor shall own the essays (& all material embodied therein); & (3) that by entering, the Nominator (or the parent or legal guardian of any minor Nominator) irrevocably assigns to Sponsor & its designees any & all rights, title & interest in the entry including but not limited to all intellectual property rights; & (4) that Sponsor & its designees shall have, without limitation, the perpetual, right worldwide to edit, adapt, modify, publish, exploit & use the entries in any way & in any media now or hereafter known (including on Sponsor’s website) for trade, advertising, promotional &/or other purposes as Sponsor &/or its designees may determine without further permission, notification or consideration to Nominators, Nominees, or any third parties. Nominators (or the parent or legal guardian of any minor Nominator) further agree that (1) entry (& all components thereof) will not be returned; (2) Sponsor & its designees shall have the right & permission to use (unless prohibited by law) Nominator’s & Nominee’s name, voice, city & state of residence, photograph &/or likeness for advertising &/or trade &/or any other purpose in any media now or hereafter known without further compensation, permission or notification to Nominators, Nominees or any third parties & (3) the Released Parties shall have no liability & will be held harmless by Nominators for any liability, loss, injury or damage to participants or any other person or entity, including personal injury or death to participants or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of Nominator’s participation in this contest, the use of any entry or any of the rights granted herein or the acceptance and/or use of any prize. By accepting prize, winning Nominee (or the parent or legal guardian of any minor Nominee) agrees that Released Parties shall have no liability & will be held harmless for any liability, loss, injury or damage, due in whole or in part, directly or indirectly, by reason of Nominee’s acceptance, possession, use or misuse of the prize or use of any of the rights granted herein. Sponsor is not responsible for any inability of the winners to accept a prize & reserves the right, at its sole discretion, to disqualify or eliminate Nominees & Nominators & award prizes to the next Nominee runner-up.
